Guangzhou Chungling Ltd. is the exclusive distributor of Indelval S.A.I.C. in Asia. In order to better promote and market Indelval rubber flooring, Chungling is sincerely looking for business partners in other area of Asia to join us.
¢ñ) Basic rules for agents: The agents must actively promote Indelval products, having the responsibility and obligation to effectively manage the commercial activities of Indelval products, including price and agent rules. Any contravention to this agreement will be penalized. Chungling asks its agents only to sell Indelval products in their designated region. Otherwise, any business activities related to Indelval products must be strictly prohibited to avoid conflicting with others. Chungling requires each agent to use Project Registration Form made by Chungling to register projects that it follows in other open areas. The earlier the agent registers the project, the earlier the agent will be authorized.
¢ò) Obligations of agents: In order to help the agents more effectively improve its¡¯ conditions of capital turnover and reduce project costs, Chungling does not require the agents to keep a large volume of stock. However, each agent should place an order of 5,000 sqm products as stock every quarter, which will certainly be accumulated as part of its annual sales target.
¢ó) Sales tasks of agents: Chungling asks each agent to fulfill their annual sales quota of 20,000 square meters. If any agent can not hit its sales target, Chungling will consider suspending the agreement with it.
¢ô) Orders and shipments procedures: The agent places an order and pay 30% of total amount as front money to Chungling by T/T and then issues a sight letter of credit of the balance of the total amount, which should be payable shortly after the goods is shipped to the appointed port. Chungling will provide the third party documents of shipment, which are made by Indelval.
¢õ) Period and termination of agent agreement: 1, The agent agreement will be valid for one year. Depending upon the performance of the agent, both sides can decide to prolong or suspend the agreement. If the annual sales task is completed well, the term of validity of the agreement will be prolonged for another year automatically. 2, In case the agent breaks the agreement or fail to complete its sales task, Chungling will have the right to unilaterally suspend the agreement.
